License Agreement

IMPORTANT – READ CAREFULLY: This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single legal entity, hereinafter "Licensee" or "You") and Sciwalker Education Limited ("Licensor," "We," or "Sciwalker") for the educational materials, software code, curriculum content, and online services provided by Sciwalker (collectively, the "Licensed Materials").

By purchasing, downloading, accessing, or using the Licensed Materials, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install, access, or use the Licensed Materials.

1. Grant of License

Subject to your compliance with this Agreement and payment of any applicable fees, Sciwalker grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Licensed Materials solely for:

  • Personal Use: If you are an individual learner.

  • Internal Educational Use: If you are a teacher or educational institution, for use within your immediate classroom only.

2. Intellectual Property Rights

The Licensed Materials are licensed, not sold. Sciwalker retains all right, title, and interest in and to the Licensed Materials, including all copyrights, trade secrets, and other intellectual property rights.

  • No Ownership: You acknowledge that this Agreement does not convey to you any interest in or to the Licensed Materials, but only a limited right of use.

3. Restrictions on Use

You agree that you will NOT:

  1. Redistribute: Sell, rent, lease, sublicense, or lend the Licensed Materials to any third party.

  2. Copy: Photocopy or digitally reproduce the Licensed Materials for distribution outside of the authorized classroom or personal use scope.

  3. AI Training: Use the Licensed Materials, including text, code, or images, to train, fine-tune, or benchmark any Artificial Intelligence (AI) or Machine Learning (ML) models.

  4. Reverse Engineer: Decompile, disassemble, or reverse engineer any software or code provided as part of the Licensed Materials.

  5. Remove Notices: Remove or alter any copyright, trademark, or proprietary notices from the Licensed Materials.

4. Code and Software Disclaimer

Certain Licensed Materials may include computer code (e.g., Python, C++, Scratch projects).

  • Educational Purpose Only: This code is provided for educational demonstration purposes only. It is not intended for production environments or critical systems.

  • "As Is" Warranty: All code is provided "AS IS" without warranty of any kind. Sciwalker is not responsible for any damage to your hardware or data resulting from the execution of this code.

5. Safety Disclaimer

For Licensed Materials that include instructions for physical experiments or engineering builds:

  • Assumption of Risk: You acknowledge that STEM activities involve inherent risks. You agree to assume full responsibility for your safety and the safety of your students/children.

  • Supervision: Sciwalker strongly recommends adult supervision and the use of appropriate Personal Protective Equipment (PPE) at all times.

6. Termination

This Agreement is effective until terminated.

  • By You: You may terminate this Agreement at any time by destroying all copies of the Licensed Materials in your possession.

  • By Sciwalker: Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Materials and destroy all copies.

7. Limitation of Liability

To the maximum extent permitted by the laws of Hong Kong, in no event shall Sciwalker be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, or loss of business information) arising out of the use of or inability to use the Licensed Materials.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong.
